Terms & Conditions

These terms apply when Welsh Valley Web hosts, supports or maintains a website for you. They sit alongside any quote or proposal we agree with you for building your website. If the two conflict, the quote or proposal applies to the building work and these terms apply to everything else.

1. Who we are

Welsh Valley Web is a sole trader business run by Luke Langridge, of Errigal House, Bryn Deri, Ebbw Vale, NP23 6DG, United Kingdom. Email: luke@welshvalleyweb.com. In these terms, "we" means Welsh Valley Web and "you" means the customer named in our quote or invoice.

2. What we provide

  • Hosting. We host your website and its data on servers that we manage, and look after the technical side of keeping it online, including a security certificate (HTTPS).

  • Backups. We take backups of your website and its data daily and keep them for 30 days.

  • Support. You can contact us by email or through our contact form for help and questions. We aim to reply within 2 working days, Monday to Friday, excluding bank holidays.

  • Updates. We keep the website's software up to date and apply security fixes. Changes to your content, design or features, and new functionality, are separate work and are quoted before we start.

3. Fees and payment

  • Our hosting and support fee depends on what your website needs. We agree it with you before hosting starts, and it is set out in your quote or invoice.

  • We are not currently registered for VAT, so no VAT is added to our fees. If that changes, we will tell you before any VAT is added.

  • We invoice in advance unless your quote says otherwise, and invoices are due within 7 days.

  • If an invoice is overdue, we may suspend your website after giving you 7 days' written notice, and we may charge interest on late payments as allowed by law. We will restore the website promptly once the balance is paid.

  • We may change our fees. We will give you at least 30 days' written notice, and you may cancel before the change takes effect.

4. How long this lasts, and cancelling

  • Hosting and support continue month to month until one of us ends them.

  • Either of us can end the service by giving the other 30 days' written notice (email is fine).

  • We may end the service immediately if you seriously break these terms, or if keeping your website online puts other customers or our systems at risk.

  • Fees already paid for a period that has begun are not refunded, unless we have broken these terms.

  • When the service ends, we will give you a copy of your website's files and data on request, within 30 days. After that, we may delete your website and its backups.

5. Your content and responsibilities

  • You own the content you provide (text, images, logos and so on). You confirm that you have the right to use it and that it does not break the law or anyone else's rights.

  • You must not use your website for anything illegal, harmful, misleading or abusive, or to send spam or spread malware. We may suspend a website that does, and we will tell you why.

  • You must keep your login details safe and tell us straight away if you think someone else has them.

  • You are responsible for making sure your business meets the legal requirements that apply to it, such as privacy notices, cookie consent and consumer law, for what you publish and sell on your website.

6. Ownership of the work

Once you have paid for it in full, you own the bespoke design and content we created for you. We keep ownership of our own tools, code libraries and know-how that we reuse across projects, and we give you a licence to use them as part of your website for as long as you use it. Open-source components stay under their own licences.

7. Domains and third-party services

Where possible, your domain name is registered in your name. Some features rely on services run by other companies, such as email delivery, payment providers or analytics. Those services have their own terms and we are not responsible for their faults or outages, although we will help you deal with them.

8. Personal information on your website

If your website collects personal information from its visitors, you are responsible for that information (the "controller") and we look after it for you (the "processor"). We will:

  • only use it to provide the services and as you instruct us;

  • keep it secure, and make sure people who can access it keep it confidential;

  • only use other companies to help us provide the services (for example, our hosting and email providers) if they are bound by equivalent obligations, and we remain responsible for them;

  • help you respond to requests from people about their information;

  • tell you without undue delay if we find out about a breach affecting it;

  • delete or return it when the service ends, as set out in section 4.

If you need a separate data processing agreement, ask and we will provide one. How we use your own information is explained in our Privacy Policy.

9. Availability

We work hard to keep your website online, but we cannot promise it will always be available or error-free. We may need to take it offline briefly for maintenance, and we will try to give notice and do this at quiet times. We are not responsible for downtime caused by things outside our reasonable control, such as problems with internet providers, our hosting provider's infrastructure, or attacks.

10. Our responsibility to you

  • Nothing in these terms limits our responsibility for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.

  • Subject to that, we are not responsible for indirect or consequential loss, or for lost profit, revenue or business.

  • Our total responsibility to you for anything arising from these terms is limited to the fees you paid us for the service in the 12 months before the problem arose.

11. Complaints and changes to these terms

If you are unhappy with our service, please tell us at luke@welshvalleyweb.com and we will do our best to put it right. We may update these terms, and will give you at least 30 days' notice of any change that affects you. If you do not agree to a change, you may cancel before it takes effect.

12. General

These terms, together with our quote or invoice, are the whole agreement between us about hosting and support. If part of them cannot be enforced, the rest still applies. If we do not enforce a right straight away, we can still do so later. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction over any dispute.
